1. Introduction

Welcome to Docupulse! Docupulse is an Excel plugin designed for finance professionals to seamlessly cross-reference Excel cells with specific sections of documents, perform semantic searches, extract information into spreadsheets, and automate document analysis tasks. These Terms and Conditions ("Terms") govern your access to and use of the Docupulse service (the "Service").

Please read these Terms carefully because they explain your rights and responsibilities when using Docupulse. By using our Service, you agree to follow and be bound by these Terms. If you do not agree, you should not use Docupulse.

2. Acceptance of Terms

By installing, accessing, or using Docupulse, you confirm that you accept these Terms and agree to comply with them. If you do not agree to any part of these Terms, you must not use the Service.

You represent that you are at least 18 years old (or the age of majority in your jurisdiction) and are legally capable of entering into a binding contract. If you are using Docupulse on behalf of a company or other organization, you represent that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity.

These Terms, together with our Privacy Policy, form a legally binding agreement between you and Docupulse. By agreeing to these Terms, you also agree to the terms of our Privacy Policy which describes how we collect, use, and protect your data.

Governing Law: These Terms are governed by the laws of Germany. This means that your use of the Service and any dispute arising from it will be subject to German law, without regard to conflict of law principles.

You should always review the results and not rely solely on the Service for critical decisions.

6. Service Availability and Modifications

We aim to keep Docupulse available and running smoothly at all times, but we cannot guarantee uninterrupted service. The Service may occasionally be unavailable for maintenance, updates, or due to unforeseen technical issues. We will try to perform maintenance during off-peak hours and, if feasible, inform you in advance (through the Service or via email) of any significant downtime.

We reserve the right to modify, update, or discontinue the Service (or any part of it) at any time. We are constantly working to improve Docupulse, so we may add or remove features, or we might decide to stop offering the Service altogether. If we make a material change that affects the way you use the Service, we will attempt to notify you (for example, by posting a notice on our website or within the Excel add-in, or by sending an email notification).

You understand that the form and nature of the Service may change over time without prior notice to you. Any new feature that enhances or alters the current Service shall be subject to these Terms, unless explicitly stated otherwise.

If we discontinue the Service in its entirety, we will make reasonable efforts to provide you with advance notice and to allow you to export or save your data (such as any references or analysis results stored in Docupulse) before the Service is terminated. We will not be liable to you or any third party for any modifications, price changes, suspension, or discontinuation of the Service.

7. Fees, Payments, and Refunds

Some features or versions of Docupulse may be offered for a fee (for example, a premium subscription plan). If you choose to use the paid aspects of the Service, you agree to pay any applicable fees. The pricing and payment terms will be presented to you at the time you sign up for a paid plan or when you upgrade. All fees are charged in the currency specified (and are typically exclusive of taxes such as VAT, unless stated otherwise). You are responsible for paying any taxes or government charges applicable to your use of the Service.

Payments for subscriptions (if any) are generally charged in advance on a periodic basis (e.g., monthly or annually) according to the plan you select. You must provide a valid payment method, and by providing such payment information, you authorize us (or our third-party payment processor) to charge the applicable fees to your payment method. If your payment details change, you must update them promptly to avoid interruption of service.

We reserve the right to change the fees for the Service or introduce new fees in the future. If the price of your subscription changes, we will notify you in advance (for example, by email or through the Service). Fee changes will not affect the subscription period already paid for; they would apply to the next billing cycle. If you do not agree with a fee change, you may cancel your subscription before the new fee takes effect.

If you fail to pay the fees when due (for example, if your payment method is declined or you have an outstanding invoice that is overdue), we may suspend or terminate your access to the paid features of the Service. If you believe you have been charged in error, please contact us promptly so we can resolve the issue.

Refunds: Fees paid are generally non-refundable. For example, if you cancel a subscription part-way through a billing period, you will typically continue to have access to the premium features until the end of that period, but you will not receive a refund for the unused portion of that period. In certain cases, we might offer a refund or credit at our discretion (for instance, if a technical issue on our side caused significant downtime, or as required by applicable law), but this is decided case by case. Any requests for refunds can be directed to our support team, and we will review them in line with our legal obligations and policies.

8. Intellectual Property

The Docupulse Service, including all content, features, and functionality (such as the software, algorithms, design, text, graphics, and trademarks), is owned by us or our licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use Docupulse solely for your internal business or personal purposes, in accordance with these Terms. This license does not give you any ownership of any intellectual property rights in our Service.

You agree not to copy, modify, distribute, sell, or lease any part of the Docupulse Service or software, and you agree not to reverse engineer or attempt to extract the source code of the software, unless you have our express written permission or such activities are permitted by law.

All trademarks, logos, and service marks related to Docupulse are the property of our company or our partners. The name "Docupulse" and our logo are our trademarks. You are not permitted to use them without our prior written consent, except as necessary for you to identify our Service.

Your Content: You retain all rights to the documents, data, and content that you upload or process using Docupulse ("Your Content"). We do not claim ownership over Your Content. By using Docupulse and uploading Your Content, you grant us permission to process, analyze, and temporarily store Your Content for the purpose of providing the Service to you. This permission is solely to operate and improve the Service and to fulfill your requests (for example, performing searches or creating cross-references). We will not use Your Content for any purpose other than delivering the Service, in accordance with our Privacy Policy.

You are responsible for the legality of Your Content. By uploading or using Your Content with the Service, you confirm that you have all necessary rights and permissions to use and share that content. If you do not have the right to use any portion of the content, you should not upload it to Docupulse.

Feedback: If you choose to provide feedback, suggestions, or ideas about Docupulse (for example, suggestions to improve features or fix bugs), you agree that we may use and implement those ideas without any obligation to you. Any feedback you provide is completely voluntary, and you understand that we may use it without compensating you.

9. Limitations of Liability

No Warranty: Docupulse is provided on an "as is" and "as available" basis. While we strive to provide a great service, we make no warranties or guarantees that Docupulse will be flawless or meet all your expectations. In particular, we do not guarantee that the Service will meet your specific needs, operate without interruption, be error-free, or that the results obtained from its use will be accurate or reliable. You use Docupulse at your own risk. To the fullest extent permitted by law, we disclaim all warranties of any kind, whether express or implied, regarding the Service, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability: To the extent permitted by applicable law, in no event will Docupulse or its parent company, affiliates, officers, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, business, or goodwill, arising out of or related to your use of or inability to use the Service. This limitation applies to any theory of liability, whether based in contract, tort, negligence, strict liability, or otherwise, even if we have been advised of the possibility of such damages.

Furthermore, to the extent permitted by law, our total cumulative liability for any claims arising out of or related to the Service or these Terms, regardless of the form of action, is limited to the amount (if any) you have paid us for the Service in the twelve (12) months immediately prior to the event that gave rise to the claim. If you have not paid any amount (for example, if you are using a free version of Docupulse), our total liability to you for any claim will be zero. This limitation is cumulative; the existence of more than one claim will not increase this limit.

Exceptions: Nothing in these Terms is intended to exclude or limit any liability that cannot be excluded by law. In particular, we do not exclude liability for our own intentional misconduct or gross negligence, or for personal injury or death caused by our negligence. Additionally, if you are a consumer, certain statutory warranties or guarantees may apply under German law (or other applicable laws) that cannot be excluded. Any limitations in these Terms will apply to the fullest extent permitted by law, and no further. These Terms do not affect any rights you may have under mandatory law.

You acknowledge that Docupulse is a tool to assist you with document analysis and that you are responsible for how you use the information obtained. We will not be liable for any decisions you make or actions you take based on the information or results provided by the Service.

10. Termination

You may stop using Docupulse at any time. If you wish to delete your Docupulse account (if an account is required) or stop using the Service, you can do so at your convenience. We hope you find Docupulse useful, but you're free to discontinue use at any point.

We reserve the right to suspend or terminate your access to Docupulse (in whole or in part) under certain circumstances. We might do this if, for example, you violate these Terms, if your use of the Service creates risk for us or for other users, or if we are required to do so for legal reasons. In most cases, if we decide to terminate or suspend your access, we will attempt to notify you of the reason (for instance, by sending an email to the address associated with your account), unless we are legally prevented from doing so or it is not feasible.

If your account or access is terminated (by you or by us), these Terms will cease to apply, except for provisions that are meant to survive termination. Sections relating to intellectual property, disclaimers of warranty, limitation of liability, governing law, and any other clauses that by their nature should survive, will remain in effect even after your access to the Service ends.

Upon termination, you will no longer have access to the Service, and you must stop using Docupulse. We may delete or deactivate your account and remove your data from our systems, although we may retain certain information if required to comply with legal obligations or for legitimate business purposes (in accordance with our Privacy Policy). If we terminate the Service entirely (for all users), we will handle user data as described in Section 6 above regarding discontinuation.

Termination of your access or account will not relieve you of any obligation to pay any outstanding fees (if applicable), and it will not entitle you to a refund of any fees already paid, except as otherwise provided in these Terms or required by law.

11. Changes to Terms

We may update or revise these Terms and Conditions from time to time. If we make a significant change, we will provide reasonable notice to you. For example, we may notify you by updating the "Effective Date" at the top of this document, by sending an email to the email address associated with your account, or by displaying a notice within the Docupulse add-in or on our website.

It is important that you review any updated Terms, because by continuing to use the Service after the changes become effective, you are agreeing to the revised Terms. If you do not agree with the changes, you must stop using Docupulse before the updated Terms take effect and, if applicable, cancel any paid subscription.

For minor changes that do not substantially affect your rights, we may not send a specific notification, so we encourage you to check our website periodically for any updates. The latest version of the Terms will always be available on our site. Your continued use of Docupulse after updated Terms have been posted will constitute your acceptance of those changes.
